These Terms and Conditions ("Terms") govern your use of the Koi Stream website at https://koistrem.digital and the services provided by Koi Stream ("we", "our", "us"). By accessing our website or engaging our services, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, please do not use our website or services.

1. Definitions

• "Service" means the AI integration services offered by Koi Stream, as described on the Solutions page.
• "User" means any person or organisation accessing the website or engaging Koi Stream's services.
• "We / Us / Our" means Koi Stream, headquartered at 9 Tai Po Road, Tai Po, New Territories, Hong Kong.
• "Agreement" means these Terms together with any written engagement scope agreed with a client.
• "Content" means text, images, materials, and other information published on this website or provided as part of our services.

2. Acceptance of Terms

By using this website or submitting an enquiry, you confirm that you are at least 18 years of age and have the capacity to enter into a binding agreement. Use of our website constitutes acceptance of these Terms. Acceptance of a written engagement scope constitutes a contract for the relevant service.

3. Service Description

Koi Stream provides three AI integration services for business operations in Hong Kong:

• Hospitality Front Desk Assistant (HK$1,180)
• Retail Staff Coaching Support Through Video Analysis (HK$2,980)
• Regional Service Centre AI Augmentation (HK$4,580)

Services are available to organisations based in or operating in Hong Kong. We reserve the right to decline engagements at our discretion. Service availability is subject to capacity.

4. User Responsibilities

Users of this website and our services agree to:

• Provide accurate, complete, and current information when submitting enquiries or engaging services
• Use the website only for lawful purposes and in a manner that does not infringe the rights of others
• Not attempt to gain unauthorised access to any part of the website or its underlying systems
• Not reproduce or redistribute content from this website without our written permission
• Comply with all applicable Hong Kong laws in connection with their use of our services

Prohibited activities include: spamming, scraping, introducing malware, and any conduct that disrupts or damages the website or our services.

5. Intellectual Property

Materials, knowledge bases, and documentation produced as part of a service engagement are owned by Koi Stream until full payment is received, at which point relevant deliverables transfer to the client as agreed in the written scope.

6. Payment Terms

• Fees are stated in Hong Kong Dollars (HKD) and are exclusive of any applicable taxes.
• Payment terms are specified in the written engagement scope for each project.
• We accept bank transfer as standard. Other payment methods may be agreed in writing.
• Late payment may result in suspension of service delivery.

Refund policy for services: Where work has not yet commenced, fees paid in advance may be refunded at our discretion. Once work has commenced, fees are non-refundable except where we have materially failed to deliver the agreed scope. Any refund requests must be submitted in writing within 14 days.

7. Service Delivery Terms

• Timelines for each engagement are set out in the written scope agreed before work commences.
• Changes to agreed scope require written agreement from both parties and may affect timeline and fees.
• We will notify you promptly if circumstances beyond our control affect our ability to deliver within the agreed timeline.
• Client cooperation — including access to relevant staff, content, and systems — is required for timely delivery. Delays caused by the client are not our responsibility.

8. Confidentiality

We treat all client operational information shared with us during an engagement as confidential. We do not share client operational data with third parties except as required for service delivery (e.g., AI tool providers) or by law. Clients agree to treat any proprietary methodologies or processes shared by Koi Stream as confidential.

9. Disclaimers

Our services are provided on the basis of reasonable skill and care. We make no representations or warranties, express or implied, that our services will achieve specific business outcomes. AI tools have inherent limitations and may not perform consistently across all inputs. Human review of AI outputs, as described in our service documentation, remains the responsibility of the client's staff.

This website and its content are provided "as is" without any warranty as to accuracy, completeness, or fitness for a particular purpose.

10. Limitation of Liability

To the fullest extent permitted by Hong Kong law, Koi Stream's total liability to any client or user in connection with our services or this website shall not exceed the total fees paid by that client in the three months preceding the claim. We are not liable for indirect, consequential, or incidental losses, including loss of business or data, even if we have been advised of the possibility of such losses.

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify and hold Koi Stream harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or any content you provide to us that infringes a third party's rights.

12. Termination

Either party may terminate a service engagement by written notice as specified in the engagement scope. Koi Stream reserves the right to terminate access to this website or any engagement where a user or client has materially breached these Terms. Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive.

13. Dispute Resolution

In the event of a dispute, the parties will first attempt to resolve the matter informally by good-faith discussion. If informal resolution fails within 30 days, either party may refer the dispute to mediation through the Hong Kong Mediation Centre or a mutually agreed mediator. If mediation does not resolve the matter, disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. All disputes shall be subject to the exclusive jurisdiction of the Hong Kong courts.

15. General Provisions

• Entire agreement: These Terms, together with any written engagement scope, constitute the entire agreement between us.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Our failure to enforce any provision does not constitute a waiver of our rights.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our obligations to a successor business.
• Notices: Notices under these Terms should be sent in writing to [email protected] or to our registered address.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Continued use of this website or our services following any update constitutes acceptance of the revised Terms. Material changes to terms governing ongoing service engagements will be notified in writing.
